Confederate Motors, Inc. Announces $1 Million 506(C) Private Placement Offering To Produce 2 Motorcycles Per Week

Confederate Motors, Inc., a Delaware corporation (the “Company”) (OTCBB:CFED), makers of exotic American motorcycles, announced that it has initiated a $1,000,000 USD private placement offering solely to accredited investors (the “Offering”) under Rule 506(c) of Regulation D promulgated by the SEC under the Securities Act. The Company intends to use the proceeds from the Offering to increase production to at least two motorcycles per week.

As part of the Offering, the Company will issue up to 5,000,000 shares of the Company’s Common Stock at $0.20 USD per share for gross proceeds of $1,000,000 USD.

The securities offered in the Offering will not be and have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.     Unfortunately as much a supporter of Confederate’s innovations coming from both JT Nesbitt and more recently Terblanche as I am there is not one solitary aspect of this offering or strategy on the part of Confederate to increase their production that I can get behind . Simply stated .. Confederate is and needs to remain a boutique very limited production M/C builder [ not manufacture ] selling their wares at a hefty price while hopefully bringing a bot more innovation to what has become an extremely stagnant M/C industry

    I don’t think Confederate hopes to build 2 bikes a week. Just a pretext to raise some needed money to be able to stay alive. Investors beware.

    I am always amazed by the sheer audacity of Mr. H. Mathew Chambers, Esq. He’s screwed a lot of people out of a lot of money, and more than a couple of them don’t normally let that kind of thing go by. Not only is he still alive, He’s planning to do it again.

    Is there enough demand out there to justify production of 100 of these bikes a year? Me thinks this would be a poor investment.

    NOTE 10 – GOING CONCERN

    As shown in the accompanying financial statements, the Company had an accumulated deficit incurred through June 30, 2015, which raises substantial doubt about the Company’s ability to continue as a going concern. The financial statements do not include any adjustments relating to the recoverability and classification of recorded assets, or the amounts and classification of liabilities that might be necessary in the event the Company cannot continue in existence.

    The Company will need significant funding to continue operations and increase development through the next fiscal year. The timing and amount of capital requirements will depend on a number of factors, including demand for products and services and the availability of opportunities for expansion through affiliations and other business relationships. Management intends to continue to seek new capital from equity securities issuances to provide funds needed to increase liquidity, fund internal growth, and fully implement its business plan.

    If the going concern assumption were not appropriate for these consolidated financial statements, then adjustments would be necessary to the carrying values of the assets and liabilities, the reported revenues and expenses, and the balance sheet classifications used.

    Overview and Outlook

    Net revenue for the quarterly period ended June 30, 2015 was $511,732 compared to $589,044 for the quarterly period ended June 30, 2014. Net revenue is lower primarily because the launch of the Speedster was unsuccessful and proper funding was not received to launch and produce the P51 Fighter Combat in a timely manner. Year-to-date net revenue was $1,025,245 compared to $938,518 for the six months ended June 30, 2014. Net loss for the quarter ended June 30, 2015 was $132,924 compared to a net loss of $28,614 for the quarter ended June 30, 2014. Year-to-date net loss was $215,263 compared to net loss of $36,206 for the six months ended June 30, 2014. Net loss was greater due to the late launch of the P51 Combat Fighter.

    Cash flow from operating activities was $(20,019) for the six months ended June 30, 2015 compared to $(592,973) for the six months ended June 30, 2014. Net cash flow required by investing activities was $0 and $(12,420) for the six months ended June 30, 2015 and 2014, respectively. Net cash flow from financing activities was $56,100 and $750,000 for the six months ended June 30, 2015 and 2014, respectively.

    We believe that the near-term global economic environment is improving for our business. We are optimistic about our long-term business prospects and plans to continue to expand production and global distribution. The operational focus for the first quarter 2015 was spent on liquidating the remaining Hellcat Speedsters and preparing for inventory growth for the P51 Fighter.

    I can see Confederate Motors being acquired by Polaris industries, I sure would like to see the Hellcat branded under Polaris management. Test rode the Hellcat motorcycle years ago in San Francisco and that was one sweet machine and design.

    They are iconic motorcycles looking for financial support and they deserve it more than the 60,000 app companies that produced the 39 companies termed Unicorns in Aileen Lee’s Crunchbase article. To be a unicorn you must reach $1B in revenue and that’s where 90% of venture returns are derived from, according to Marc Andreessen.

    Cisco is right, it would be nice to see them under the Polaris umbrella, but I also love the idea of more motorcycle companies rather than less.

    No matter what anyone says, Confederate pushes the limits and shows what passion they have for design without compromise. It is always great to see a new model come out from them. I am glad they are still around to amaze us.
