American Chopper. Senior Versus Junior In The Courthouse.

If some of you think that the legal battle between Paul Teutul Sr. and Paul Jr, is fake, made only to increase their TV show ratings, you need to read about the legal arguments that each party, via their respective lawyers, presented last week in a courthouse of White Plains, New-York

In January 2009, after a new on-air firework between Paul  Sr. and Paul Jr., Senior fired Junior. To avoid a breach of agreement with the Discovery channel, owner of The Learning Channel, son and father signed a letter of agreement  by which: “Junior shall extend to Senior, upon Senior’s request, an option to purchase all of his shares in Orange County Choppers Holdings, Inc. for fair market value as determined by a procedure to be agreed to by the parties as soon as practicable.” 

In November 09, Paul Senior tried to exercise this option, but Junior refused under the argument that the language of the January 2009 letter lacked essential terms concerning the appraisal process and was merely an unenforceable “agreement to agree.”  The legal battle continued last week with Senior asking Junior to turn over all his shares of OCC for an amount of $0.00. To know all what’s going on in the courthouse, read the report of an attorney named Peter A, Mahler who was present to hear oral arguments of both parties

    These to are both idiots… but anyone that has turned on that show knows Sr. thinks his company is the best out there (laughable). If that is the case and he says Jr.’s shares are worth nothing wouldnt it stand to reason his company is comletely worthless!!!!! Just like the crap he builds and calls cutting edge.

    Senior should just wait.
    The company is losing value by the minute and in a couple years will probably be on the verge of bankrupcy and he won’t have to pay Jr. a dime. If I were Jr. I’d be looking to settle asap. An appraisal now would certainly be higher than one a year or two down the road.

    The briefs are interesting reading. This is certainly not a “made for tv” family dispute, it’s the real deal. Looks like Junior stands a chance to learn one of life’s hard lessons.

    Don’t blame the lawyers. What I find ironic is that, in their attempt to avoid a lawsuit with Discovery, Sr. and Jr. rushed to get their “agreement” documented and ended up in a lawsuit of their own. Smart, huh? You can’t blame the lawyers for the way Sr. and Jr. are wired or how they behave. Sr. and Jr., as clients, have the power to settle their differences anytime they want and without the need for lawyers or protracted litigation. Although it does seem that due to their personal history and apparent unwillingness to speak to each other, the only way any issue between them can get resolved is through others, such as……lawyers. Who’s fault is that? Whether or not they can be fair with each other is, again, not on the lawyers, but on themselves.

    The bike on Jr’s shirt is Ian Barry’s Falcon Motorcycle. The way the story goes is Jr. paid some genius to create a shirt for his shop and he put the best looking motorcycle he could find on it and of course, it isn’t one of Jr’s!
    Somebody saw it and ratted him out to Ian. Ian in turn contacted them and told to stop producing and selling the shirts, which he did.

    What’s interesting os the Jr. is a minority shareholder so a simple Board meeting and director’s resolution might have avoided all this in the first place. Obviously valuing shares for $0 suggests all of OCC is worthless, so it begs the question whether owning 80% of something worthless is better than owning all of something that is worthless. By the same measure, would offering more than $0 afford Jr. the opportunity to purchase Sr.’s shares.

    But, this is a family business and relatives try and buy each other out for as little as possible. It’s not just a lawyer’s game at this point, it’s a bookkeeping and tax matter. I can only imagine. Sr. was trying to maximize some tax losses for 2009.

    I also can’t believe I actually bothered posted something about these morons.

    I think both of these guys are nothing more than bottom of the barrel feeders that lack any semblance of class, ethics, morals, or professionalism.

    I could never imagine allowing $$$$ to come between me, my children or family. This entire mess says so much about the character, or lack thereof, of both Sr. and Jr.

    Further, in my humble opinion, the Discovery Channel/Learning Channel should be ordered by the court to pay an FCC fine equal to the final determined value of Jr’s stock for airing this bullshit. Maybe this would end the OCC crap once and for all.

    I think the comment about the t.v show are okay to comment about, but to comment about someones family are just a tad personal don’t you think. I’m sure everyone here are adult and mature enough to rise above the need to look like a bitchy teenager. If I was forced to choose a side I’d pick sr, as I think jr is abit of a pre-madonna. You got to give them something….everyone here sounds like jelleous green envy eyed desperados… You may not like their bikes, but thet made millions going from building in their bacement to that multi million dollar building. I like the show, I’m not keen on most of their bikes, I prefer stuff like billy lane and jesse james have built. but none the less I’d rather watch a show aboout bikes on an evening, than some of the utter shite my wife watches. nuff said..
